Supervisory and Strategic Orientation Board (SSOB)
The Group is overseen by a Supervisory and Strategic Orientation Board (SSOB), composed of shareholder representatives. It defines the Group’s key strategic directions and validates major decisions related to strategy, financing and long‑term commitments.
The SSOB relies on four specialised committees that prepare its work:
Nominations & Remuneration Committee: key functions and remuneration policies
Acquisitions Committee: strategic investments
Purpose & Sustainability Committee: CSR commitments and stakeholder relations
The committee chairs report to the SSOB, which met fifteen times in 2024. Board members receive no remuneration for their mandate.
An organization serving the field
Each country has its own Executive Committee and support teams, dedicated to assisting residences so they can fully focus on the quality of care.
A monthly business review brings together the President, the Finance & Performance teams, the Sustainability department, and the Country Executive Committee to ensure close, locally grounded steering.
France and Spain also have a Professional Ethics Committee, ensuring the Group’s standards and values are upheld.
An operational governance
Group leadership is ensured by Sylvain Rabuel, supported by an operational governance structure designed for effective strategic steering and seamless coordination between countries.
Key bodies include:
– Group Executive Committee, meeting monthly to cover all strategic and development topics.
– Group Performance Committee, a forum for Executive teams to support cross‑functional projects.
– Risk & Compliance Committee, supervising risk management, compliance and audit plans.
– Group Sustainability Committee, driving our CSR roadmap.
Members of the Group Executive Committee and Group functions are the primary contacts for the SSOB and ensure the operational implementation of the Group’s strategy in each country, closely aligned with local realities.
