Our governance model is the result of our corporate culture and reflects our decentralised organisation.<\/br><\/br>Flexible, operational, client\u2011oriented and involving families, it ensures the alignment of our strategy with the realities and specific needs of the field.<\/br><\/br>\r\n

Our governance is centred on operational excellence, high financial performance, and strong standards of transparency, professional ethics and quality of service for all.<\/br><\/br>\r\n\r\nIt enables swift decision\u2011making, as close as possible to local teams, with one shared objective : ensuring the best possible care for each person.<\/p> <\/div>\n <\/div>\n <\/figcaption>\n\n <\/figure>\n<\/section>\n\n\n\n

Supervisory and Strategic Orientation Board (SSOB)<\/strong><\/h2>\n\n\n\n

The Group is overseen by a Supervisory and Strategic Orientation Board (SSOB), composed of shareholder representatives.
It defines the Group\u2019s key strategic directions and validates major decisions related to strategy, financing and long\u2011term commitments.<\/p>\n\n\n\n

The SSOB relies on four specialised committees that prepare its work:<\/p>\n\n\n\n

  • Audit Committee:<\/strong> accounts, risks, compliance, internal audit<\/li>\n\n\n\n
  • Nominations & Remuneration Committee:<\/strong> key functions and remuneration policies<\/li>\n\n\n\n
  • Acquisitions Committee:<\/strong> strategic investments<\/li>\n\n\n\n
  • Purpose & Sustainability Committee:<\/strong> CSR commitments and stakeholder relations<\/li>\n<\/ul>\n\n\n\n

    The committee chairs report to the SSOB, which met fifteen times in 2024.
    Board members receive no remuneration for their mandate.<\/p>\n\n\n\n

    An organization serving the field<\/strong><\/h2>\n\n\n\n

    Each country has its own Executive Committee and support teams, dedicated to assisting residences so they can fully focus on the quality of care.<\/p>\n\n\n\n

    A monthly business review brings together the President, the Finance & Performance teams, the Sustainability department, and the Country Executive Committee to ensure close, locally grounded steering.<\/p>\n\n\n\n

    France and Spain also have a Professional Ethics Committee<\/strong>, ensuring the Group\u2019s standards and values are upheld.<\/p>\n\n\n\n

    An operational governance<\/strong><\/h2>\n\n\n\n

    Group leadership is ensured by Sylvain Rabuel, supported by an operational governance structure designed for effective strategic steering and seamless coordination between countries.<\/p>\n\n\n\n

      Group President<\/b>

      \r\nSylvain Rabuel joined DomusVi in 2019. He began his career at Mondelez before becoming Marketing Director at Tiscali in 2000.
      \r\n
      \r\nHe joined Club Med in 2004 as Marketing Director for France, later becoming Managing Director for France, Europe and Africa \u2013 New Markets, and was appointed Managing Director for France, Europe and Africa in 2015.
      \r\n
      \r\nSylvain Rabuel is a graduate of Sciences Po Paris and holds a master\u2019s degree from ESCP.

      Managing Director France<\/b>

      \r\nEric Eygasier joined DomusVi in 2018. An engineer by training, he began his career at BD in medical technologies, before holding several management positions at Kodak.
      \r\n
      \r\nIn 2000, he joined Darty, where he successively led services and sales in the \u00cele-de-France region.
      \r\n
      \r\nHe then continued his career at Relay France and Lagard\u00e8re Travel Retail, where he became Deputy Managing Director in 2015.

      MARYLINE MESIANO <\/p>\n

      Chief Executive Officer Spain<\/b>
      \r\n
      \r\nMarilyne Mesiano joined DomusVi in 2024 as Group Chief Executive Officer for Development, Real Estate and New Countries. She began her professional career as an analyst within the Wines & Spirits division of LVMH before joining Unibail-Rodamco-Westfield, the European leader in shopping centres, in 2006 and again in 2016, where she held several strategic positions: Chief Operating Officer, Retail Leasing Director for France, and Country Manager in Spain.
      \r\nHer career also includes a role at Club Med, where she oversaw real estate development in Southern Europe before being promoted to Vice President Development Americas in Miami.
      \r\nIn March 2026, she was appointed Chief Executive Officer of DomusVi Spain.<\/p>\n <\/div>\n <\/figcaption>\n <\/figure>\n <\/li>\n

      MATHIEU FABRE<\/p>\n

      Group Chief Financial & Performance Officer<\/b>

      \r\nMathieu Fabre joined DomusVi as Group Chief Financial & Performance Officer.
      \r\n
      \r\nHe began his career at the brokerage firm Aurel Leven, followed by the investment bank Close Brothers. In 2004, he joined the Medica Group as Financial Controller and later Chief Financial Officer.
      \r\n
      \r\nIn 2015, he moved to the Colis\u00e9e Group as Head of Finance, before joining M\u00e9dip\u00f4le Partenaires, a private hospital group.
      \r\n
      \r\nMathieu Fabre holds a master\u2019s degree from Paris IX Dauphine University.<\/p>\n <\/div>\n <\/figcaption>\n <\/figure>\n <\/li>\n

      ROBIN PSOMAS<\/p>\n

      General Director of Development and New Countries of the Group<\/b>

      \r\nArriving at DomusVi in 2024 as Director of Group Real Estate Asset Management, Robin quickly established himself as a key player.
      \r\n
      \r\nIn particular, he developed, in collaboration with the operational teams of DomusVi France and DomusVi Spain, the real estate strategies of these two countries over a five-year horizon, thus directly contributing to the performance and long-term vision of our activities.
      \r\n
